End User License Agreement — MemFill CentreSuite

1. What this software is

MemFill CentreSuite (the "Software") is a browser extension that learns the expense-coding values you have previously entered on your organization's P-Card reconciliation website and fills them in for your review on later visits. It runs entirely in your browser.

2. License grant

Subject to this agreement, we grant you a personal, non-exclusive, non-transferable license to install and use the Software. Each license key is issued to one named individual and may be used on that individual's own devices. Group purchases are a roster of individual keys — one key per person, not a shared key.

3. Trial, license states, and what you keep forever

The Software offers a 30-day free trial with all features. After that, an active annual license enables the full feature set. Whatever happens to your license, you never lose your data:

• Your learned memory always exports as a plain, documented file, in every license state, forever.
• If a paid license lapses, the Software continues to fill from the memory you built and continues to accept corrections to merchants it already knows (so it can never keep filling codes you've told it are wrong). Learning new merchants and enabling new site adapters require an active license.
• If you never purchase, after the trial the Software still learns, suggests, and exports; automatic filling requires a license.

4. Sunset promise

If we permanently discontinue the Software, we will publish a final, long-lived license key free of charge, so that every paying user retains the capabilities of an active license for as long as the Software continues to run in their browser. Your data is yours regardless (§3).

5. Your data and privacy

The Software stores its learned merchant memory locally in your browser. It transmits no financial data anywhere. Its only network access is an optional, download-only license-renewal check, which you can disable. See the Privacy Policy for the complete description.

6. Your responsibilities

The Software is a data-entry aid, not an accounting service. It fills values for your review; every filled value is highlighted, and nothing is submitted to your reconciliation system except by you. You remain solely responsible for the accuracy and completeness of any reconciliation you submit and for compliance with your organization's expense policies. Use the Software only with your own credentials in your own session, in accordance with your organization's and your reconciliation provider's terms.

7. Updates

The Software updates automatically through your browser's extension mechanism. Updates may add, change, or improve functionality. We do not maintain old versions.

8. Restrictions

You may not resell, sublicense, or share license keys; misrepresent the Software's origin; or use the Software to access accounts or sessions that are not yours.

9. Third-party names

CentreSuite is a product of its respective owner; Scotiabank, PeopleSoft, and other names referenced are trademarks of their respective owners. The Software is an independent tool and is not affiliated with, endorsed by, or supported by any of them, nor by any university or employer.

10. Disclaimer of warranty

The Software is provided "as is", without warranty of any kind, express or implied, including fitness for a particular purpose. We do not warrant that it will be error-free or that it will remain compatible with third-party websites, which may change at any time.

11. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of this agreement is limited to the amount you paid for the Software in the 12 months preceding the claim. We are not liable for indirect or consequential damages, including errors in submitted reconciliations — reviewing and submitting them is yours (§6).

12. Termination

This agreement ends if you materially breach it and don't cure the breach after notice. On termination you must uninstall the Software. Sections 3 (data export), 9–11 survive.

13. Governing law

This agreement is governed by the laws of Ontario, Canada. If any provision is unenforceable, the rest remains in effect.
